We assist boards of directors and management teams in the creation and implementation of practices based on the latest legal updates. We counsel both large and small clients on a wide range of corporate governance issues, such as board fiduciary duties in oversight and decision-making, director and officer liability and indemnification, corporate governance policies, board structure and composition, board committee composition and charters, and corporate record-keeping and document retention policies. We often act like an outside “general counsel” for our clients without in-house legal counsel, and we regularly advise and assist in-house counsel of larger clients with their responsibilities.
